Computers with installed eCopy Desktop 8.5 must be running Windows 98 SE, Windows NT 4.0 Workstation, Windows 2000, or Windows XP. eCopy Desktop does not support Macintosh operating systems.

EVALUATION LICENSE AGREEMENT:
I Accept. (I have read and accept the eCopy Desktop Evaluation License Agreement below.) This document contains the eCopy Evaluation License Agreement which governs the use of this software product. YOU AGREE TO THE TERMS OF THIS LICENSE BY CHECKING THE "I ACCEPT" BOX ABOVE. DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE IF YOU HAVE NOT READ, UNDERSTOOD, AND AGREED TO THE TERMS AND CONDITIONS OF THIS LICENSE. 1. Subject to the terms of this Agreement, eCopy hereby grants, and you accept (by clicking the "I Accept" box), a non-exclusive, non-transferable license to download the computer program(s), user manual(s), and any related materials contained in this product (collectively called the "Software") during the Evaluation Period solely for the purpose of evaluating the Software. All right, title and interest in and to the Software shall at all times remain vested in eCopy and its licensors. Except for the express rights granted to you herein, no rights or licenses, express or implied, are granted to you. 2. You may make copies of the Software in machine-readable form for non-productive backup purposes only. You shall not sell, distribute, assign, move or otherwise transfer the Software to any third party or remove or alter any copyright, trademark, trade name or other proprietary notices appearing on or in the Software. Except as expressly set forth herein, you shall not use, copy or modify the Software. Under no circumstances may you attempt to create or permit others to attempt to create, by reverse-compiling or reverse-assembling or otherwise, any part of the source programs from the object programs or other information provided to you by eCopy. If you violate the terms of this Agreement, your rights in the Software are automatically terminated. 3. The license is effective from the date you begin to use the Software and continues for the 45-day Evaluation Period. Upon expiration of the 45-day Evaluation Period, you shall destroy any archival copies you may have recorded on any memory system or magnetic medium. 4. DISCLAIMER AND LIMITATIONS OF LIABILITY. THE SOFTWARE IS SUPPLIED TO COMPANY ON AN "AS IS" BASIS. ECOPY HEREBY EXPRESSLY DISCLAIMS ALL WARRANTIES REGARDING THE SOFTWARE, WHETHER EXPRESS OR IMPLIED, ORAL OR WRITTEN, INCLUDING WARRANTIES OF MERCHANTABILITY, TITLE, AND FITNESS FOR ANY PARTICULAR PURPOSE. ECOPY DOES NOT WARRANT THAT THE SOFTWARE WILL MEET COMPANY'S REQUIREMENTS, THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE, OR THAT DEFECTS WILL BE CORRECTED. ECOPY SHALL IN NO EVENT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, DIRECT, CONSEQUENTIAL OR PUNITIVE DAMAGES (INCLUDING ANY LOST BUSINESS PROFITS OR ANY LOSS, DAMAGE OR DESTRUCTION OF DATA) ARISING IN CONNECTION WITH THIS AGREEMENT, WHETHER SUCH LIABILITY IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF WARRANTY OR OTHERWISE. THIS EXCLUSION SHALL APPLY EVEN IF ECOPY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ECOPY SHALL NOT BE LIABLE FOR ANY TECHNICAL OR OTHER ADVICE GIVEN TO COMPANY IN CONNECTION WITH THE SOFTWARE. 5. OTHER PROVISIONS (a) Governing Law. This Agreement, and all disputes arising out of or related thereto, shall be governed by and construed under the laws of the State of New Hampshire without reference to conflict of laws principles. All such disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of New Hampshire, and the parties agree and submit to the personal and exclusive jurisdiction and venue of these courts. (b) Assignment. Licensee shall not assign this Agreement or any rights or obligations hereunder, directly or indirectly, by operation of law, merger, acquisition of stock or assets, or otherwise, without the prior written consent of eCopy. Subject to the foregoing, this Agreement shall inure to the benefit of and be binding upon the parties and their respective successors and permitted assigns. (c) Export Regulations. Licensee understands that eCopy is subject to regulation by the U.S. government and its agencies, which prohibit export or diversion of certain technical products and information to certain countries and individuals. Licensee warrants that it will comply in all respects with all export and re-export restrictions applicable to the technology and documentation provided hereunder. (d) Modification. This is the entire agreement between the parties relating to the subject matter hereof and all other terms are rejected. No waiver or modification of this Agreement shall be valid unless in writing signed by each party. The waiver of a breach of any term hereof shall in no way be construed as a waiver of any term or other breach hereof. If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law the remaining provisions of this Agreement shall remain in full force and effect.
